By accessing or using this Site, or purchasing any of our products, programs, or services, you agree to be bound by these Terms of Service.

SECTION 1 - USE OF SITE AND SERVICES

The Site is intended for individuals who are at least 18 years of age or the legal age of majority in their jurisdiction, whichever is greater. By accessing the Site, you affirm that you meet this requirement and have the legal capacity to enter into a binding contract. You agree to use this Site only for lawful purposes and not to share, resell, or redistribute any proprietary content, materials, or training information provided by AI Exelion.

SECTION 2 - INTELLECTUAL PROPERTY

All aspects of our Site are protected by U.S. and international copyright, trademark, and other intellectual property laws, including all content, text, logos, videos, audio clips, graphics, course materials, AI systems, downloads, and proprietary tools. The AI Exelion trademark and logo are proprietary marks of Logistical Innovations and their use is strictly prohibited without prior written consent. Nothing herein gives you the right to copy, reproduce, modify, distribute, publish, display, or otherwise exploit any content owned by AI Exelion.

If you purchase access to AI Exelion's programs or materials, you receive a revocable, limited, non-exclusive, non-transferable license to use those materials for your personal business purposes only. You may not: modify, publish, transmit, resell, create derivative works from, or commercially exploit any course material or proprietary system without express written permission from AI Exelion.

SECTION 3 - EDUCATIONAL PURPOSE ONLY

All information, materials, training, and AI systems provided by AI Exelion are for educational and business implementation purposes only. We do not provide legal, tax, investment, financial, or employment advice. Any decisions you make based on our materials are your sole responsibility. Participation in any AI Exelion program does not create a partnership, employment, franchise, or agency relationship between you and Logistical Innovations.

SECTION 4 - NO GUARANTEES OF EARNINGS OR RESULTS

AI Exelion makes no guarantee that you will earn any specific amount of income or achieve any particular business outcome through our programs, mentorship, or AI systems. Every business is different and individual results will vary depending on factors including but not limited to your effort, skill, market conditions, experience, financial resources, and execution. All income figures and examples used on this Site, in videos, or in marketing materials are for illustration purposes only and should not be construed as promises of future performance.

We do not sell a business opportunity, "get rich quick" program, guaranteed income system, or business in a box. You should not purchase our products or services if that is your expectation. Please see our Important Disclosure for complete details.

SECTION 5 - PAYMENT AND REFUND POLICY

All purchases are final. Our programs provide instant access to digital materials, proprietary AI systems, and other intellectual property. Because access is granted immediately upon purchase, refunds are not provided except as required by law.

By purchasing, you acknowledge that all payments are final. At our sole discretion, we may approve a refund only in the following cases:

• Duplicate transaction
• Documented technical failure that prevents access and cannot be resolved by our team
• Demonstrated billing error

To request a review, email support@aiexelion.com within 7 days of purchase with your order details and a description of the issue. Chargebacks or payment disputes filed without prior communication to us are considered unauthorized and may result in immediate termination of account access and reporting to applicable payment processors. Any refund granted in a specific case does not waive this general no-refund policy.

SECTION 6 - SUBSCRIPTION TERMS AND AUTOMATIC PAYMENTS

If you purchase a subscription-based service, you authorize AI Exelion to charge your payment method on a recurring basis in accordance with the payment terms for the specific service selected. Failure to use any services available through your subscription does not relieve you of your payment obligations. To cancel a subscription, you must submit a cancellation request to support@aiexelion.com at least ten (10) days before your next billing date. We do not provide refunds, credits, or prorated billing for canceled subscriptions. AI Exelion reserves the right to immediately terminate account access for any unpaid subscription period.

SECTION 7 - USER CONDUCT AND RESTRICTIONS

You agree not to use the Site or any AI Exelion software or services for any unlawful or harmful purpose. Prohibited activities include:

• Scraping, crawling, downloading, or copying any content from the Site without express permission.
• Introducing or transmitting viruses, malware, or other harmful code.
• Hacking, interfering with, or disrupting the security or operation of the Site.
• Impersonating any person or entity or misrepresenting your identity.
• Sending spam or unsolicited communications using our tools or brand.
• Sharing, reselling, or redistributing any proprietary course materials, AI systems, or tools.
• Using our services to engage in any deceptive, fraudulent, or misleading advertising or marketing.
• Uploading or transmitting sensitive personal information such as social security numbers, financial account data, or passwords.

SECTION 8 - YOUR RESPONSIBILITIES RUNNING A BUSINESS

You represent and warrant that you operate or intend to operate a legitimate business in good standing. You agree that you and your business will only use AI Exelion's products and services for lawful purposes. You are solely and exclusively responsible for complying with all applicable laws and regulations in running your business, including laws governing advertising, marketing claims, tax obligations, subscriptions, and refunds. AI Exelion shall have no liability for your violation of any laws.

You agree to notify AI Exelion immediately if any investigation, inquiry, or lawsuit is threatened or filed against you or your business. AI Exelion, at its sole discretion, may terminate your access based on any such event.

SECTION 9 - TESTIMONIALS, REVIEWS, AND CONTENT SUBMISSIONS

AI Exelion may use testimonials, reviews, and member success stories in whole or in part, together with the name and location of the submitting individual, for any form of marketing or promotional activity. Testimonials represent the unique experience of the individual submitting them and do not guarantee that you will achieve similar results. By submitting a testimonial, review, photo, or video, you grant AI Exelion a royalty-free, worldwide, perpetual, non-exclusive, and irrevocable license to use, reproduce, modify, publish, and distribute such content in any media. AI Exelion reserves the right to edit for grammar, length, or clarity prior to publication.

SECTION 11 - DISCLAIMER OF WARRANTIES

AI EXELION DOES NOT WARRANT THAT THE SITE WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE, OR THAT ANY RESULTS OBTAINED FROM USE OF THE SITE WILL BE ACCURATE OR RELIABLE. ALL SUCH WARRANTIES ARE EXPRESSLY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

SECTION 12 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, LOGISTICAL INNOVATIONS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR OTHER DAMAGES ARISING FROM OR RELATED TO THESE TERMS, YOUR USE OF THE SITE, OR YOUR PURCHASE OR USE OF ANY AI EXELION PRODUCT OR SERVICE, REGARDLESS OF WHETHER AI EXELION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE OR SERVICES IS TO DISCONTINUE USE.

SECTION 13 - INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Logistical Innovations, its directors, officers, employees, affiliates, and agents from and against any and all claims, actions, liabilities, damages, expenses, and costs — including reasonable attorneys' fees — arising out of or related to: (1) your use or misuse of the Site or any AI Exelion service or product; (2) your breach of these Terms; (3) your violation of any law or the rights of a third party; or (4) any content you submit or transmit through the Site.

SECTION 14 - DISPUTE RESOLUTION AND MANDATORY ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. EXCEPT WHERE PROHIBITED BY LAW, ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS, YOUR USE OF THE SITE, OR YOUR PURCHASE OF ANY AI EXELION PRODUCT OR SERVICE SHALL BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY AND YOUR RIGHT TO PARTICIPATE IN ANY CLASS OR REPRESENTATIVE ACTION.

If you have a dispute, you agree to first contact us at support@aiexelion.com to attempt informal resolution. Any dispute that cannot be resolved informally within 60 days shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in San Diego, California, or by telephone or written submission if both parties agree. The arbitrator shall follow the substantive law of the State of California. Judgment on the award may be entered in any court of competent jurisdiction.

You and AI Exelion agree that disputes will only be arbitrated on an individual basis and shall not be consolidated into any class or representative action. If the class action waiver is deemed unenforceable, the entire arbitration provision shall be rendered null and void.

SECTION 15 - THIRD-PARTY LINKS

The Site may contain links to third-party websites. AI Exelion is not responsible for the content, accuracy, or privacy practices of any third-party site. Links do not constitute an endorsement by AI Exelion. You access third-party sites at your own risk.

SECTION 16 - TERMINATION

AI Exelion reserves the right to terminate or suspend your access to the Site and any programs at any time, with or without notice, if you fail to comply with any term of this Agreement or violate any applicable law. Upon termination, you remain responsible for any outstanding payments. Sections 2, 4, 11, 12, 13, 14, and all representations and warranties shall survive termination.

SECTION 17 - DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA)

If you believe that content on our Site infringes your copyright, please send a written notice to support@aiexelion.com with the following information: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the infringing material and its location on the Site; (4) your contact information; (5) a statement of good faith belief that the use is not authorized; and (6) a statement under penalty of perjury that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

Counter-notices may be submitted to the same address. AI Exelion will process valid notices in accordance with the DMCA.

SECTION 18 - GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of California without regard to its conflicts of laws principles. To the extent any dispute is excluded from arbitration, the parties agree that such dispute shall be brought exclusively in the state or federal courts located in San Diego County, California. You irrevocably consent to the personal jurisdiction and venue of such courts.

SECTION 19 - FORCE MAJEURE

AI Exelion will not be responsible for any delay, damage, or failure caused by any act of nature, government action, or other causes beyond our reasonable control.

SECTION 20 - ELECTRONIC AGREEMENT

By accessing the Site, clicking any purchase or agreement button, or submitting information through the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms. Electronic communications and agreements carry the same legal force and effect as written signatures.

SECTION 21 - CHANGES TO THESE TERMS

AI Exelion reserves the right to update these Terms at any time. We will post the updated Terms on the Site with a revised "Last Updated" date. Your continued use of the Site following any update constitutes acceptance of the revised Terms.

SECTION 22 - SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

SECTION 23 - ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Important Disclosure, constitute the entire agreement between you and Logistical Innovations with respect to your use of the Site and supersede all prior agreements, representations, and understandings.
